La réforme du droit coopératif en Italie The reform of cooperative law in Italy

Résumé

Le droit coopératif italien vient d’être profondément révisé dans le cadre d’une réforme du droit des sociétés qui modernise la partie du Code civil concernant le droit des entreprises. Si cette réforme était demandée par le mouvement coopératif, son élaboration, qui a impliqué deux législatures avec deux majorités différentes, a connu des moments de très grande tension entre mouvement coopératif et gouvernement, et des attitudes contrastées au sein du mouvement coopératif. Cet article montre « de l’intérieur » comment des situations dramatiques, qui ont vu le mouvement coopératif en situation de forte difficulté, ont pu être surmontées grâce à une intelligence politique, beaucoup de patience et des efforts « pédagogiques » envers les interlocuteurs parlementaires. Plusieurs innovations ont été introduites, la plus remarquable étant celle qui définit la « mutualité prédominante » et des critères précis à respecter pour garder la faveur de l’État en matière fiscale. C’est à la fois un défi et une opportunité qui s’offrent aux coopératives italiennes pour concilier authenticité et fidélité aux principes coopératifs avec développement et compétitivité.

Abstract

Italian cooperative law has recently been significantly revised as part of the reform of corporate law that has modernized the section of the civil code concerning companies. While this reform had been requested by the cooperative movement, there were some very tense moments between the cooperative movement and the government during its drafting, which involved two legislatures and two different majorities, as well as differences of opinion within the cooperative movement. Written by an insider, this article shows how some explosive situations, which tested the cooperative movement to its limits, could be overcome thanks to political astuteness, great patience and efforts at “educating” members of parliament. Several innovations were introduced, the most striking being “dominant mutualism” and some precise criteria for taking advantage of government tax breaks. The reform represents both a challenge and an opportunity for Italian cooperatives to reconcile a genuine commitment to cooperative principles with growth and competitiveness.
